What Does NDA Stand For?

BusinessContractsWorkplaceUpdated Oct 30

What does NDA stand for? In business and law it stands for non-disclosure agreement, a contract in which one or more people promise not to share certain private information. You may be asked to sign one before a job starts, before a company shows you a new idea, or before two businesses talk about working together.

The point is trust on paper. The person sharing secrets wants a legal remedy if those secrets leak, and the person receiving them learns exactly what they may and may not say. The same letters have a few other meanings, including a well known military academy in India, covered below.

What does NDA stand for in a contract?

On a contract, the three letters break down like this:

Breaking down the three letters
InitialFull wordSense
NNonNot
DDisclosureRevealing or sharing information
AAgreementA contract both sides sign

The word may be written non-disclosure or nondisclosure; both spellings are used. Spoken as "en dee ay," NDA counts as an initialism. See acronym vs abbreviation for how that label works.

What a typical NDA covers

Most agreements, short or long, contain the same core parts:

  • The parties: who is sharing and who is receiving.
  • What counts as confidential: plans, customer lists, code, recipes, prices, designs.
  • What does not count: facts already public, or things you knew before.
  • How long it lasts: a set number of years, or for as long as the information stays secret.
  • What happens after a breach: damages, a court order, or both.

A one way (unilateral) NDA binds only the receiver. A mutual (bilateral) NDA binds both sides, which is common when two companies explore a deal. In many places, laws limit how far an NDA can go, for example in keeping someone from reporting a crime or unsafe working conditions to the authorities.

When you might be asked to sign one

In a job offer email: "Before your first day, please review and sign the attached NDA and return it to HR." Here the employer wants you to keep company information private during and after the job.

  • A freelancer is shown a client's unreleased product.
  • A startup founder pitches an idea to a possible partner.
  • A tester tries a new game or app before launch.
  • Two firms open their books while talking about a merger.

Read the whole document before signing, and ask questions about any part that seems too broad.

Treat this section as general information. Before signing or drafting an agreement, have a lawyer review it.

NDA vs similar business papers

  • NDA vs MOU: an MOU (memorandum of understanding) sets out the plan two sides hope to follow; an NDA only covers secrecy.
  • NDA vs non-compete: an NDA limits what you share; a non-compete limits where you can work. They are separate clauses, though both can appear in one employment contract.
  • NDA vs MSA: a master services agreement sets the overall terms for ongoing work and often contains its own confidentiality section.

More office and contract letters are gathered in the business acronyms guide.

Using NDA in sentences

  • "We can share the drawings once you sign the NDA."
  • "The NDA runs for two years after the project ends."
  • "Both firms signed a mutual NDA before the first meeting."
  • "I can't talk about the launch; I'm under NDA."

"Under NDA" is a set phrase meaning a person is bound by one. Pair it with an ("an NDA"), since the spoken N opens with a vowel sound.

Questions people ask

What does NDA mean at work?

At work it almost always means non-disclosure agreement. The employer asks you to keep trade secrets, client data and internal plans private.

What is the NDA full form in India?

In Indian news it often means the National Defence Academy, which trains officer cadets for the armed forces. In politics it can mean the National Democratic Alliance, a coalition of parties.

Is an NDA legally binding?

A properly written and signed NDA is generally an enforceable contract. Courts may refuse to enforce terms that are too broad or that conflict with the law, so rules vary by place.

Is it a or an NDA?

Go with "an NDA." Spoken aloud, the first letter sounds like "en," so the vowel sound wins.

How long does an NDA last?

It depends on the wording. Many last a set number of years, while trade secret clauses may last as long as the information stays secret.
