What does DBA stand for in business?

Read literally, the phrase explains itself: the owner is doing business as some other name. The legal owner stays the same. Only the public name changes.

  • D, Doing: actively operating, selling or serving customers.
  • B, Business: the trade or company activity.
  • A, As: under the name that follows.

You read it letter by letter, "D B A," and you often see it lowercase with slashes in older documents, such as "d/b/a." Both forms mean the same thing.

Who files a DBA, and why

Several kinds of businesses use one:

  • A sole proprietor who wants a shop name instead of a personal name on signs and invoices.
  • An LLC or corporation that sells under a brand that differs from its registered name, such as a company called Peak Holdings that runs a gym named Uphill Fitness.
  • A business that runs several product lines and wants a separate public name for each.

Common reasons include opening a bank account in the business name, accepting checks made out to that name, and letting customers know who they are dealing with. Many states require a filing before you use a name other than your own or your company's legal name.

On a contract: "Peak Holdings LLC d/b/a Uphill Fitness." The legal party to the deal is Peak Holdings LLC. Uphill Fitness is just the name members see on the door.

What a DBA does not do

This is where many new owners get confused. A DBA is a name, not a business structure.

  • It does not create a separate legal entity.
  • It does not shield personal savings from business debts. That kind of protection comes from forming an entity such as an LLC or a corporation.
  • It usually does not give you exclusive national rights to the name. Trademark protection is a separate process.
  • It does not replace tax registrations such as an EIN or local licenses.
Treat this as a general overview only. Filing rules, fees and renewal periods differ by state and county, so check with your local filing office or a business attorney.

How filing a DBA usually works

  1. Search your state or county records to see whether the name is already taken.
  2. Fill out the assumed name or fictitious business name form.
  3. File it with the right office, often the county clerk or the secretary of state.
  4. In some states, publish a short notice in a local newspaper.
  5. Note the renewal date, since many registrations expire after a set number of years.
